1. Agreement and scope These terms govern business services supplied by Andersen Holdings LLC, doing business as RevenueClimb (“RevenueClimb,” “we” or “us”), to the business identified in an accepted order (“Customer” or “you”). Our business contact address is 30 N Gould St, Ste R, Sheridan, WY 82801, United States. An “Order” is the written service description and pricing accepted by both parties, including through an electronic purchase process. Each Order must identify the service, included work, exclusions, fees, billing schedule and any agreed delivery dates. An Order controls a conflict concerning those commercial details; a signed data-processing agreement controls personal-data processing; these terms otherwise apply. Statements about possible results do not expand the purchased scope. The person accepting an Order confirms authority to bind Customer. Services are intended for business use. 2. Services and onboarding RevenueClimb will perform the purchased services with reasonable professional care and skill. Convert includes inquiry capture from connected sources in one pipeline; permitted missed-call follow-up; AI phone, text and web qualification using business-approved facts; appointment booking using configured availability; reminders, rescheduling and no-show recovery; open-estimate and eligible dormant-inquiry follow-up; opportunity visibility and automatic reporting. Grow includes Convert plus management of exactly one agreed paid acquisition channel, a focused campaign landing page and tracking, automated review requests after recorded completed work, referral invitations, and appropriate repeat-work and seasonal campaigns. These are automated services; Customer’s team handles estimates, sales, professional decisions and trade work. No staffed receptionist is included. Advanced is custom priced for needs outside the standard packages, including additional locations, channels or integrations where feasible and expressly agreed. It requires its own written scope. No package includes unlimited usage, unspecified work or a guaranteed number of leads, appointments, customers or revenue. After we verify your accepted Order and initial payment, we begin onboarding. We provision your RevenueClimb workspace and give your authorized staff individual access. You can start without existing business software or a website. Where the Order requires access to a calendar, domain or advertising account you own, you grant the necessary permissions through that service’s secure access process. Service activation is recorded when the agreed service passes its delivery checks. No activation date is guaranteed by purchase. Activation does not set or change the monthly billing schedule. If we need information, access or approval from you first, we identify what is missing and how it affects delivery. Changes to scope or additional fees require written agreement before the additional work begins. 3. Prices and renewal Unless an Order expressly states a different price, Convert costs USD 899 per month plus a one-time USD 499 setup fee, and Grow costs USD 1,999 per month plus a one-time USD 999 setup fee. The initial amounts are therefore USD 1,398 for Convert and USD 2,998 for Grow, before applicable taxes and separately authorized costs. Advanced pricing is stated in its Order. Your ordinary monthly subscription starts at purchase. The initial payment includes the one-time setup fee and first monthly service fee. Only the monthly service fee renews each month until cancellation takes effect. Setup is not charged again on renewal. There is no trial or activation-based billing anchor. Stripe applies its normal monthly billing schedule, including its handling of months without the corresponding date. Your invoice and customer billing portal show your actual billing dates. The Order and checkout show the initial charge, monthly amount, currency and billing interval. By accepting the Order and authorizing payment, you authorize those initial and subsequent monthly charges to the agreed payment method until cancellation takes effect. Advertising spend is separate from service fees. For Grow, exactly one channel, its account, budget and delegated access are agreed during onboarding before any advertising starts; a purchase or illustrative calculator budget is not spending authorization. Applicable communication, telephony, messaging, AI and other third-party usage or charges require separate agreement before being incurred. No usage allowance or unlimited usage is implied. Customer is responsible for applicable transaction taxes, excluding taxes on our income. We may change recurring service prices on at least 30 days' written notice. A change applies only to a renewal after that notice period; you may cancel before it takes effect. An agreed fixed-price commitment remains effective for its stated term. 4. Payment and payment problems Customer authorizes the initial and recurring charges expressly accepted during purchase. A payment failure does not itself cancel a subscription. We will notify Customer of a failed payment and allow at least seven days to resolve it before suspending services for nonpayment, except where fraud or payment-provider restrictions require earlier action. We do not impose a late fee under these terms. Contact support@revenueclimb.com about a billing error. We will investigate and correct duplicate or unauthorized charges. This process does not limit rights available from a payment provider or under applicable law. 5. Cancellation and refunds You may stop renewal through the customer billing portal once it is available for your subscription, or by emailing support@revenueclimb.com from an authorized account contact. Identify your business and request cancellation. We may verify the requester’s identity and authority. You can cancel without a call, meeting or explanation. A cancellation received before the next renewal stops that renewal. Unless you request an earlier stop, service continues through the paid period. We will confirm the effective date in writing. If a renewal is charged after a timely cancellation, we will reverse that charge. If an Order ends before activation, we refund the first monthly service fee and any later monthly fees paid for service not supplied. We refund the full setup fee if setup has not begun. If setup is partly complete, we may retain the portion earned for documented work performed under the Order and refund the balance. If we cannot provide the purchased service, we return the unearned amounts. After activation, cancellation for convenience takes effect under the paid-period rule above. Mandatory refund rights and remedies for breach remain unaffected. If we terminate for convenience, we give at least 30 days' written notice and refund prepaid fees for services not supplied after termination. 6. Customer responsibilities and advertising controls Customer will provide accurate information, timely approvals and lawful access to the systems necessary for the Order. Customer remains responsible for its products, pricing, licensing, fulfillment, customer service and the accuracy of claims it supplies. Customer must have a lawful basis and any required permissions for contacts and data supplied for follow-up. Customer will promptly communicate opt-outs, withdrawals, booking changes and restrictions. RevenueClimb will honor applicable suppression instructions and will not treat an earlier permission as overriding a later withdrawal. Advertising requires a written channel, account, budget and approval of material claims. We will not exceed an agreed spending cap without further written authorization. Customer retains ownership of its accounts unless an Order expressly identifies another arrangement. Platform approval, placement and availability are outside our control. 7. Confidentiality and personal information Each party will protect nonpublic business information received from the other, use it only to perform this agreement, and disclose it only to personnel and service providers who need it and are bound to appropriate confidentiality obligations. This does not cover information already lawfully known, independently developed, publicly available without breach, or lawfully received without restriction. Legally required disclosures are permitted, with prior notice where lawful. When handling personal information on Customer's behalf, RevenueClimb will act on documented lawful instructions, limit access to what is needed, use reasonable safeguards, and require appropriate obligations of service providers. Customer determines the lawful purposes of its customer-data processing. Neither party is relieved of its own legal duties. Before processing begins, the parties will document the relevant data, purposes, systems, authorized providers, locations, retention and return/deletion instructions in the Order or a data-processing agreement. RevenueClimb will not sell Customer's personal information or use it for unrelated marketing. We will notify Customer without undue delay after confirming unauthorized access to Customer personal information and cooperate with investigation and legally required notices. Neither party may require the other to follow an unlawful instruction. 8. Ownership and transition Customer retains ownership of its data, trademarks and supplied materials and grants us the limited rights needed to perform the Order. On payment, Customer owns deliverables created specifically for it, excluding our pre-existing tools, templates, methods, software and third-party materials. We grant Customer a perpetual, nonexclusive right to use any of our pre-existing materials incorporated into a paid deliverable as needed to use that deliverable. Third-party materials remain subject to their applicable licenses. On termination, we will stop work and authorized account access, cooperate in an orderly handover, and provide a reasonably usable export of Customer data under our control on request within 30 days. We will not withhold Customer's own data solely because of a fee dispute. Further transition services require agreement on scope and fees. Retained legal records and backups remain protected and subject to the documented retention schedule. 9. Problems, suspension and termination for cause A party alleging a material breach must describe it in writing and allow 15 days to cure where cure is possible. If it is not cured, the other party may terminate the affected Order. Either party may terminate immediately for an incurable material breach. We may suspend only affected activity where reasonably necessary to address unlawful conduct, a credible security threat, lack of required permission or a third-party restriction. We will explain the reason where lawful and work toward restoration. Suspension is not a license to continue charging indefinitely for unavailable service; the parties will promptly resolve the affected scope and any unearned prepaid fees. 10. Warranties and liability Each party warrants its authority to enter this agreement. RevenueClimb warrants professional care and skill; Customer warrants its right to supply the data and materials it provides. RevenueClimb does not warrant commercial outcomes or uninterrupted third-party services. To the extent permitted by law, neither party is liable for indirect or consequential loss, including lost anticipated profits, arising from this agreement. Each party's aggregate liability for an affected Order is limited to fees paid or payable under that Order for the 12 months preceding the event giving rise to the claim. These exclusions and limits do not apply to fraud, intentional misconduct, gross negligence, payment obligations, infringement or misuse of the other party's intellectual property, breach of confidentiality or personal-data obligations, or liability that cannot lawfully be excluded or limited. No provision excludes a mandatory statutory warranty or remedy. 11. General provisions Wyoming law governs this agreement, excluding its conflict-of-law rules and subject to mandatory laws that apply regardless of that choice. Courts with jurisdiction in Wyoming may hear disputes, without limiting a forum or remedy that mandatory law makes available. The parties will first attempt good-faith resolution. Either party may seek urgent relief or make a filing needed to preserve a claim. Neither party is responsible for delays beyond its reasonable control if it promptly informs the other and takes reasonable steps to reduce the impact. This does not excuse payment for services already supplied. If disruption prevents material performance for more than 30 days, either party may end the affected Order with a refund of unearned prepaid fees. Neither party may assign this agreement without the other's reasonable consent, except in a business reorganization or sale where the successor assumes its obligations and the assignment does not materially reduce the other's rights. The parties are independent contractors. Neither may bind the other. These terms, the Order and any signed data-processing agreement are the entire agreement for the services. Amendments require written agreement, except the prospective price changes expressly permitted above. Electronic acceptance and counterparts are valid. Failure to enforce a provision is not a waiver. An invalid provision will be limited to the minimum necessary; the remainder continues. Notices to RevenueClimb may be sent to support@revenueclimb.com or the business contact address above. We send notices to Customer's designated account contact. Customer should keep that address current. Contract provisions intended to apply after termination, including payment for work supplied, confidentiality, ownership, data protection and liability, survive.
